This Leave and License Agreement is made and executed at __________ on this ___ day of ________, 2026

BETWEEN

[LICENSOR ENTITY] through it’ s owners Mr. [LICENSOR NAME] & Mr. [LICENSOR NAME] having it’s address at [ADDRESS], [PLACE]-[PIN], Hereinafter referred to as the “Licensor” (which expression shall, unless repugnant to the context or meaning thereof, include its owners, successors, legal heirs, representatives and assigns);

AND

[Company Name] (CIN: [CIN]), a Company incorporated under the provisions of the Companies Act, 2013, having its registered office at Plot No. [ADDRESS], [PLACE], India, [PIN], through its Authorized Signatory Mr. [NAME] (PAN: [PAN]), Hereinafter referred to as the “Licensee” (which expression shall include its successors and permitted assigns).

WHEREAS The Licensor is the lawful owner and in possession of the premises at [LICENSOR ENTITY] H- Storage Building at [ADDRESS], [PLACE] (hereinafter referred to as the “Licensed Premises”).

The Licensee has approached the Licensor requesting to grant the said premises on Leave and License basis for commercial use, and the Licensor has agreed to do so on the terms and conditions set out herein.

NOW THIS AGREEMENT WITNESSETH AS FOLLOWS:

Grant of License

The Licensor hereby grants to the Licensee a revocable Leave and License to occupy and use the Licensed Premises for commercial purposes only, without creating any tenancy or leasehold rights.

Term

This Agreement shall be valid for a period of [QUANTITY] months commencing from __________ and ending on __________.

Lock-in Period

The parties agree to a lock-in period of [QUANTITY] months from the commencement date.

License Fee (Rent)

The Licensee shall pay to the Licensor a monthly license fee calculated at the rate of [AMOUNT] per square foot for a total area of [FIGURE] sq. ft., amounting to [AMOUNT]/- ([AMOUNT]) per month. The said license fee shall be paid on or before the 15th day of each month.

Escalation

The License Fee shall increase by 5% annually, effective from the commencement of each successive year.

Security Deposit

The Licensee has already paid an interest-free refundable security deposit of [AMOUNT]/- ([AMOUNT]) to the Licensor through [BANK NAME] cheque bearing No. 31, which has been deposited in the bank account of Mr. [NAME] on [DATE]. The said deposit shall be refunded upon expiry or termination of this Agreement, subject to deductions, if any.

Exclusive Access and Facilities:

The Licensor agrees and undertakes to provide and ensure the following:

The Licensee shall have exclusive entry to the Licensed Premises.

The Licensor shall ensure that access from the staircase to the ground floor, as well as access from the ground floor to the first floor from within the premises, is completely restricted by constructing a proper wall or fiber partition, so as to prevent any unauthorized access or movement.

The lift opening on the ground floor shall be secured by constructing a brick wall of 6 feet width and extending up to ceiling height, to prevent any external entry into the Licensed Premises.

The Licensor shall provide an office [ADDRESS] ft.

The Licensor shall provide complete LAN cabling and all necessary wiring for computers and related systems.

The Licensor shall ensure proper electricity arrangements in the Licensed Premises.

The Licensed Premises shall be handed over in a clean condition and shall be properly painted.

All the above works and arrangements shall be completed and provided by the Licensor before or at the time of handing over possession of the Licensed Premises to the Licensee.

Use of Premises

The Licensed Premises shall be used strictly for commercial / non-residential purposes only.

The Licensee shall not carry out any illegal, hazardous or nuisance-causing activities.

Maintenance and Utilities

Electricity charges shall be borne and paid by the Licensee directly.

Maintenance / common area charges shall be borne by __________________.

Alterations

The Licensee shall not make any structural alterations or additions without prior written consent of the Licensor.

No Tenancy Rights

This Agreement is a Leave and License arrangement and does not create any tenancy, lease or ownership rights in favor of the Licensee.

The Licensee shall not sublet, assign or transfer the premises.

Inspection

The Licensor shall have the right to inspect the premises at reasonable intervals, subject to giving at least [QUANTITY] days prior notice to the Licensee.

Termination (Post Lock-in)

After completion of the lock-in period, either party may terminate this Agreement by giving [QUANTITY] months’ written notice to the other party.

Default

In case of non-payment of license fee or breach of any terms of this Agreement, the Licensor shall have the right to terminate the Agreement after giving reasonable written notice.

Possession

Upon expiry or termination of this Agreement, the Licensee shall hand over peaceful and vacant possession of the premises.

Registration and Stamp Duty

This Agreement shall be registered in accordance with applicable laws.

Stamp duty and registration charges shall be borne by both parties equally (unless otherwise agreed).

The parties hereto have executed this Agreement on the day and year first above written.
